b. Overview Due Diligences/legal audit:
We also undertake due diligence for companies, this includes, investigating their legal structures and giving our legal opinions on operational aspects of the organizations and their governance and ownership structures (including, Board of Directors composition, shareholding and Share Capital structures).
c. Company Secretarial Services:
The firm also offers Company Secretarial support services for our Corporate Clients including; acting as Company Secretaries (for Companies where this is a mandatory requirement so as to comply with the provisions of the Companies Act, 2015). We facilitate and attend Company Annual General (A.G.Ms) and Special General Meetings (SGMs) (board and shareholder via Proxy), file Company Annual Returns, Striking Off, Winding up and closure of Branch Offices and undertake any other necessary Company filings. We generally ensure that Companies carrying on business in Kenya are compliant with the provisions of the Companies Act, 2015.
